NON-DISCLOSURE AND CONFIDENTIALITY AGREEMENT
I agree that any and all knowledge or information that may be obtained in the course of the employment with respect to the conduct and details of the business and with respect to the secret processes, formulas, recipes, training, preparation, procedures, menus, names, etc. used by Fuji’s Restaurant Clackamas, Inc. (“Employer”) in its services and products will be forever held inviolate and be concealed from any competitor and all other persons and that Employee will not engage as employer, employee, principal, agent, or otherwise, directly or indirectly, at any time in a similar business. Employee will not impart any knowledge acquired, to anybody and that should he [she] at any time resign or become terminated, Employee agrees not to enter into the employ or service or otherwise act in aid of the business of any rival company, concern or individual engaged in the same or in similar lines of business, without the expressed, written consent by Employer. Nothing shall prevent him [her], upon the termination or resignation of employment, in engaging in any similar positions or other occupation so long as the processes, formulations, recipes, training, preparation, procedures, menus, names, or other trade secrets learned (and belonging to) Employer will not be directly or indirectly involved and/or duplicated. In the event that this agreement is breached in any way, Employer shall be entitled to an injunction and all disputes must be settled in any competent court of equity in the State of Oregon enjoining and restraining him [her] and each and every other person concerned from continuance of employment, services or other acts in aid of the business of the rival company, concern or individual.
ACKNOWLEDGMENT AND AUTHORIZATION
